1. Promotion Period.

The Thanks a Million Giveaway ("Sweepstakes") starts at 12:00:01 a.m. Eastern on August 1, 2012, and ends at 11:59:59 p.m. Eastern on October 31, 2012 ("Promotion Period"). Sweepstakes Prizes will be awarded periodically throughout the Promotion Period in accordance with Section 5 below.

2. How to Play.

To enter for a chance to win a Sweepstakes Prize simply do any one of the following. No other method of entry will be accepted.

(a) BY INTERNET: Submit an entry online at www.ThanksAMillionOhio.com prior to the close of the Promotion Period.

(b) ) BY MAIL: Legibly print your name, address, date of birth, daytime and evening telephone numbers, and e-mail address (optional), and the words "Thanks a Million Giveaway" on a 3"x5" post`card, and mail to PO Box 5046, Department 589200, Kalamazoo, MI 49003-5046. Mail-in entries must be postmarked on or before October 31, 2012 and must be received by ePrize, LLC on or before November 9, 2012.

(c) AUTOMATIC ENTRY AND OPT-OUT RIGHTS: All eligible households newly enrolling as a FirstEnergy Solutions customer or switching to a FirstEnergy Solutions price control plan on or after August 1, 2012, and throughout the Promotion Period will be automatically entered into the Sweepstakes. If you are automatically entered in this way, you may opt out of the Sweepstakes and have your entry discarded by making a specific request and mailing it to PO Box 5054, Department 589218, Kalamazoo, MI 49003-5054, or you may decline the Sweepstakes Prize if you are selected as a Sweepstakes Winner.

Only one entry per household during the entire Promotion Period is permitted. Your "household" is your primary residence. Any individuals or households that FirstEnergy Solutions or ePrize, LLC discovers to have entered or attempted to enter in the Sweepstakes more than once will have all duplicate entries removed and may be disqualified at the discretion of FirstEnergy Solutions or ePrize, LLC.

FirstEnergy Solutions and ePrize, LLC are not responsible for entries that are lost, mutilated, misdirected, or delayed, regardless of why such events occur or whose fault such events are. Entries will not be acknowledged or returned. All entries become the exclusive property of FirstEnergy Solutions.

IF YOU AGREE THAT FIRSTENERGY SOLUTIONS MAY CONTACT YOU REGARDING SUBJECTS UNRELATED TO THE SWEEPSTAKES USING THE INFORMATION YOU PROVIDE, SUCH AS MARKETING INFORMATION ABOUT POTENTIALLY MONEY-SAVING OFFERS, PLEASE NOTE YOUR PREFERENCE ON YOUR ENTRY. IF YOU CONSENT, FIRSTENERGY SOLUTIONS WILL NOT SELL, SHARE, OR OTHERWISE INTENTIONALLY MAKE YOUR INFORMATION AVAILABLE TO THIRD PARTIES UNAFFILIATED WITH FIRSTENERGY SOLUTIONS. IF YOU DO NOT CONSENT, THEN THE INFORMATION YOU PROVIDE WILL NOT BE USED BY FIRSTENERGY SOLUTIONS FOR ANY PURPOSE OTHER THAN THE SWEEPSTAKES. IN ANY EVENT, ePRIZE, LLC, WHICH IS THE COMPANY ADMINISTERING THE SWEEPSTAKES, WILL NOT USE YOUR INFORMATION FOR ANY PURPOSE OTHER THAN THE SWEEPSTAKES.

3. Sweepstakes Prizes.

Each Sweepstakes Prize will consist of $25,000 ("Sweepstakes Prize") paid to the individual identified on a winning entry ("Sweepstakes Winner"), plus an additional $50,000 donated to the public school district serving the location where the Sweepstakes Winner resided as of the date of her or his entry submission ("Sweepstakes Donation"). There will be a total of eight (8) Sweepstakes Prizes awarded and a total of eight (8) Sweepstakes Donations made, subject to the conditions and limitations of these Official Rules.

The odds of winning a Sweepstakes Prize depend upon the number of eligible entries received. The odds of a school district receiving a Sweepstakes Donation likewise depend upon the number of eligible entries received.

A Sweepstakes Prize is not transferable. A Sweepstakes Donation likewise is not transferable.

4. Eligibility.

To be eligible to enter the Sweepstakes, you must be an individual who is a legal resident of the State of Ohio; your current primary residence must be in the State of Ohio but NOT part of an electric cooperative or a municipal electric utility; and you must be at least eighteen (18) years of age at the time of entry. To determine if your current primary residence is part of an electric cooperative or a municipal electric utility, please look at your electricity bill or call your local electric utility.

VOID IN ANY JURISDICTION WHERE PARTICIPATION IS PROHIBITED. All federal, state, and local laws and regulations apply.

By entering the Sweepstakes, you represent and warrant to FirstEnergy Solutions that you meet these criteria. You further represent and warrant that your participation in or attempted participation in the Sweepstakes is not violative of any federal, state, or local law or regulation.

Notwithstanding anything else in these Official Rules, officers, directors, employees, contractors, and agents of FirstEnergy Solutions; ePrize, LLC; electric distribution utilities; electric distribution utility holding companies; electric light companies; electric services companies; competitive retail electricity service providers; electric aggregators; licensed electricity agents and brokers; and licensed electricity consultants, and the immediate family members of any of these individuals (i.e., current and former spouses; parents and their current and former spouses; biological, adopted, or stepchildren and their current and former spouses; and biological, adopted, or stepsiblings and their current and former spouses), are not eligible to participate in or win the Sweepstakes.

5. Drawings.

Subject to the conditions and limitations of these Official Rules, there will be a total of eight (8) Sweepstakes Winners. Each Sweepstakes Winner will be selected randomly in a drawing from all eligible entries submitted as of the day before that drawing. There will be two (2) random drawings total. The first will occur on or about October 1, 2012, but not before October 1, 2012; the final will occur on or about November 20, 2012. During each of these two (2) random drawings, four (4) Sweepstakes Winners total will be selected. All eligible entries that are not selected as a Sweepstakes Winner during a given drawing will remain eligible for the next drawing that occurs, if any. Any eligible entries submitted after a drawing has already occurred will only be eligible for the remaining drawings that have not yet occurred.

No Sweepstakes Winner can win more than one Sweepstakes Prize. Subject to the conditions and limitations of these Official Rules, a Sweepstakes Donation recipient school district can be the recipient of more than one Sweepstakes Donation.

Each Sweepstakes Winner will be notified by phone, U.S. Mail, or e-mail that she or he has been selected as a Sweepstakes Winner, and given instructions regarding how to accept her or his Sweepstakes Prize. Each school district that will receive a Sweepstakes Donation will likewise be notified by phone, U.S. Mail, or e-mail that it has been selected as a Sweepstakes Donation recipient and given instructions regarding how to accept its Sweepstakes Donation. Each Sweepstakes Winner will have twenty (20) business days after being notified to accept the Sweepstakes Prize, or she or he will forfeit the Sweepstakes Prize at FirstEnergy Solutions' sole discretion. Each Sweepstakes Donation recipient will have twenty (20) business days after being notified to accept the Sweepstakes Donation, or it will forfeit the Sweepstakes Donation at FirstEnergy Solutions' sole discretion.

If a selected Sweepstakes Winner or school district Sweepstakes Donation recipient cannot be contacted, is ineligible, fails to claim the Sweepstakes Prize or Sweepstakes Donation timely, or fails timely to return any completed documentation if required, the Sweepstakes Prize or Sweepstakes Donation may be forfeited at FirstEnergy Solutions' sole discretion. All individuals selected as Sweepstakes Winners and all school districts selected as Sweepstakes Donation recipients may elect to forfeit or decline the Sweepstakes Prize or Sweepstakes Donation.

If any Sweepstakes Prize is unclaimed, forfeited, or declined, and a Sweepstakes Donation recipient has already been designated in connection with that Sweepstakes Prize, then that Sweepstakes Donation recipient will still be designated as the Sweepstakes Donation recipient unless that Sweepstakes Donation is otherwise unclaimed, forfeited, or declined.

If any Sweepstakes Prize is unclaimed, forfeited, or declined, it may be awarded by subsequent random drawing of the eligible entries received prior to the end of the Promotion Period or not awarded at all, at FirstEnergy Solutions' sole discretion. Any such subsequent drawing may occur at any time after the Promotion Period ends, and will otherwise comply with these Official Rules to the extent reasonably practicable. However, any such subsequent drawing will not entitle any school district to become a Sweepstakes Donation recipient, notwithstanding anything else in these Official Rules. If any Sweepstakes Donation is unclaimed, forfeited, or declined, it may be donated, but need not be, to any other school district at FirstEnergy Solutions' sole discretion, regardless whether the school district would otherwise qualify as a Sweepstakes Donation recipient under these Official Rules.

The names of the Sweepstakes Winners and school districts receiving a Sweepstakes Donation will be posted at www.ThanksAMillionOhio.com within ten (10) business days after the end of the Promotion Period. Alternatively, to receive a paper copy of the names of the Sweepstakes Winners and school districts receiving a Sweepstakes Donation, send a self-addressed envelope to FirstEnergy Solutions, Thanks A Million Ohio, 341 White Pond, Akron, OH 44320. The information will then be mailed within a reasonable time after the Promotion Period ends.

ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH A SWEEPSTAKES PRIZE, AND ANY COSTS AND EXPENSES ASSOCIATED WITH A SWEEPSTAKES PRIZE, ARE THE SOLE RESPONSIBILITY OF THE SWEEPSTAKES WINNER WHO WINS THAT SWEEPSTAKES PRIZE. LIKEWISE, ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH A SWEEPSTAKES DONATION, AND ANY COSTS AND EXPENSES ASSOCIATED WITH A SWEEPSTAKES DONATION, ARE THE SOLE RESPONSIBILITY OF THE SCHOOL DISTRICT THAT ACCEPTS THAT SWEEPSTAKES DONATION.

6. Affidavit of Eligibility, Liability Release, and Publicity Grant.

By participating or attempting to participate in the Sweepstakes, even if ineligible, you release, indemnify, and hold harmless FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, from any and all liability, claims, or actions of any kind sustained in connection with the Sweepstakes, including, for example, any errors in evaluating the eligibility of entrants or attempted entrants.

By accepting a Sweepstakes Prize, each Sweepstakes Winner also releases, indemnifies, and holds harmless FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, from any and all liability, claims, or actions of any kind sustained in connection with the Sweepstakes and the receipt, ownership, use, or misuse of the Sweepstakes Prize. Unless prohibited by law, each Sweepstakes Winner will be required to sign and return an affidavit of eligibility, liability release, and publicity grant in a form acceptable to FirstEnergy Solutions, which will include consent to the use of the Sweepstakes Winner's name, photograph, and likeness for advertising and publicity purposes without additional compensation.

By accepting a Sweepstakes Donation, each school district receiving a Sweepstakes Donation releases, indemnifies, and holds harmless FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, from any and all liability, claims, or actions of any kind sustained in connection with the Sweepstakes and the receipt, ownership, use, or misuse of the Sweepstakes Donation. Unless prohibited by law, each Sweepstakes Donation recipient school district will be required to sign and return a liability release and publicity grant in a form acceptable to FirstEnergy Solutions, which will include consent to the use of the school district's name and likeness for advertising and publicity purposes without additional compensation.

7. Sponsor.

("FirstEnergy Solutions") is the sole sponsor of the Sweepstakes, and may be contacted at 341 White Pond, Akron, OH 44320, 1-888-254-6359, www.fes.com. ePrize, LLC is the administrator of the Sweepstakes, and may be contacted at ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069, 1-877-837-7493, www.eprize.com. ePrize, LLC is not a sponsor of the Sweepstakes.

8. Technology Disclaimer.

FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, disclaim liability for, and you release, indemnify, and hold harmless these entities and individuals against and from, any damages, losses, costs, or negative impact on your participation or attempted participation in the Sweepstakes caused by any technological or electronic malfunctions or problems of any kind, including those resulting from bugs, viruses, problems with computer servers, problems with computer hardware, problems with computer software, problems with "cloud"-based computing, problems with data, problems with networks, problems with internet service, problems with internet connections, problems with internet browsers, problems with the transmission of information or data, and lost, delayed, corrupted, or mistransferred data or information. This Section 8 applies regardless whether the technologies or electronics at issue are in your control, in the control of any of the entities and individuals listed above in this Section 8, or in the control of any other individual or entity.

9. Additional Conditions.

By participating or attempting to participate in the Sweepstakes, you agree to be bound by these complete Official Rules and by the decisions of FirstEnergy Solutions and ePrize, LLC, which shall be final and binding in all respects. Any disputes relating to the Sweepstakes arising between participants or attempted participants and FirstEnergy Solutions or ePrize, LLC will be submitted to binding arbitration in Summit County, Ohio, and resolved under the laws of the state of Ohio. In the event of a dispute regarding an entrant's identity, the entrant will be considered to be the named registrant.

FirstEnergy Solutions, in its sole discretion, reserves the right to disqualify any person tampering with the entry process, the operation of the FirstEnergy Solutions or ePrize, LLC websites, or who is otherwise in violation of these Official Rules. FirstEnergy Solutions further reserves the right to cancel, terminate, or modify the Sweepstakes if it is not reasonably capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, or technical failures of any sort. In the event of cancellation, the then-unawarded Sweepstakes Prizes may be awarded by random drawing of the eligible entries received prior to the date of the cancellation or not awarded at all, at FirstEnergy Solutions' sole discretion. If such Sweepstakes Prizes are awarded, then the corresponding Sweepstakes Donations will be donated in accordance with Section 5 of these Official Rules. If such Sweepstakes Prizes are not awarded, then the corresponding Sweepstakes Donations may be donated, but need not be, to any other school district at FirstEnergy Solutions' sole discretion, regardless whether the school district would otherwise qualify as a Sweepstakes Donation recipient under these Official Rules.
