1. Promotion Period.

The Thanks a Million Giveaway ("Sweepstakes") starts at 12:00:01 a.m. Eastern on August 1, 2012, and ends at 11:59:59 p.m. Eastern on October 31, 2012 ("Promotion Period"). Sweepstakes Prizes will be awarded periodically throughout the Promotion Period in accordance with Section 5 below.

2. How to Play.

To enter for a chance to win a Sweepstakes Prize simply do any one of the following. No other method of entry will be accepted.

(a) BY INTERNET: Submit an entry online at www.ThanksAMillionOhio.com prior to the close of the Promotion Period.

(b) BY MAIL: Legibly print your company’s name and address, as well as an authorized company representative’s telephone number and e-mail address, and the words "Thanks a Million Giveaway" on a 3"x5" post card, and mail to PO Box 5058, Department 589226, Kalamazoo, MI 49003-5058. Mail-in entries must be postmarked on or before October 31, 2012 and must be received by ePrize, LLC on or before November 9, 2012.

(c) AUTOMATIC ENTRY AND OPT-OUT RIGHTS: All eligible companies newly enrolling as a FirstEnergy Solutions customer or switching to a FirstEnergy Solutions price control plan on or after August 1, 2012, and throughout the Promotion Period will be automatically entered into the Sweepstakes. If a company is automatically entered in this way, it may opt out of the Sweepstakes and have its entry discarded by having an authorized representative of the company mail a specific request to PO Box 5941, Department 589234, Kalamazoo, MI 49003-5941, or the company may decline the Sweepstakes Prize if it is selected as a Sweepstakes Winner.

Only one entry per company during the entire Promotion Period is permitted. Any company that FirstEnergy Solutions or ePrize, LLC discovers to have entered or attempted to enter in the Sweepstakes more than once will have all duplicate entries removed and may be disqualified at the discretion of FirstEnergy Solutions or ePrize, LLC.

FirstEnergy Solutions and ePrize, LLC are not responsible for entries that are lost, mutilated, misdirected, or delayed, regardless of why such events occur or whose fault such events are. Entries will not be acknowledged or returned. All entries become the exclusive property of FirstEnergy Solutions.

IF YOUR COMPANY AGREES THAT FIRSTENERGY SOLUTIONS MAY CONTACT IT REGARDING SUBJECTS UNRELATED TO THE SWEEPSTAKES USING THE INFORMATION PROVIDED, SUCH AS MARKETING INFORMATION ABOUT POTENTIALLY MONEY-SAVING OFFERS, PLEASE NOTE YOUR COMPANY’S PREFERENCE ON ITS ENTRY. IF YOUR COMPANY CONSENTS, FIRSTENERGY SOLUTIONS WILL NOT SELL, SHARE, OR OTHERWISE INTENTIONALLY MAKE YOUR COMPANY’S INFORMATION AVAILABLE TO THIRD PARTIES UNAFFILIATED WITH FIRSTENERGY SOLUTIONS. IF YOUR COMPANY DOES NOT CONSENT, THEN THE INFORMATION YOUR COMPANY PROVIDES WILL NOT BE USED BY FIRSTENERGY SOLUTIONS FOR ANY PURPOSE OTHER THAN THE SWEEPSTAKES. IN ANY EVENT, ePRIZE, LLC, WHICH IS THE COMPANY ADMINISTERING THE SWEEPSTAKES, WILL NOT USE YOUR COMPANY’S INFORMATION FOR ANY PURPOSE OTHER THAN THE SWEEPSTAKES.

3. Sweepstakes Prizes.

Each Sweepstakes Prize will consist of $50,000 ("Sweepstakes Prize") paid to the company identified on a winning entry ("Sweepstakes Winner"). There will be a total of eight (8) Sweepstakes Prizes awarded, subject to the conditions and limitations of these Official Rules.

The odds of winning a Sweepstakes Prize depend upon the number of eligible entries received.

A Sweepstakes Prize is not transferable.

4. Eligibility.

To be eligible to enter the Sweepstakes, your company must have its principal place of business in Ohio; must be registered with the Ohio Secretary of State; must be in good standing with the State of Ohio; and must NOT be part of an electric cooperative or a municipal electric utility. To determine if your company is part of an electric cooperative or a municipal electric utility, please look at your company’s electricity bill or call your company’s local electric utility.

VOID IN ANY JURISDICTION WHERE PARTICIPATION IS PROHIBITED. All federal, state, and local laws and regulations apply.

By entering the Sweepstakes, your company represents and warrants to FirstEnergy Solutions that it meets these criteria. The individual entering on behalf of your company represents and warrants to FirstEnergy Solutions that she or he is the company representative fully authorized to do so. Your company further represents and warrants that your company’s participation in or attempted participation in the Sweepstakes is not violative of any federal, state, or local law or regulation.

Notwithstanding anything else in these Official Rules, FirstEnergy Solutions; ePrize, LLC; electric distribution utilities; electric distribution utility holding companies; electric light companies; electric services companies; competitive retail electricity service providers; electric aggregators; licensed electricity agents and brokers; and licensed electricity consultants, and the affiliates of any of these companies are not eligible to participate in or win the Sweepstakes.

5. Drawings.

Subject to the conditions and limitations of these Official Rules, there will be a total of eight (8) Sweepstakes Winners. Each Sweepstakes Winner will be selected randomly in a drawing from all eligible entries submitted as of the day before that drawing. There will be two (2) random drawings total. The first will occur on or about October 1, 2012, but not before October 1, 2012; the final will occur on or about November 20, 2012. During each of these two (2) random drawings, four (4) Sweepstakes Winners total will be selected. All eligible entries that are not selected as a Sweepstakes Winner during a given drawing will remain eligible for the next drawing that occurs, if any. Any eligible entries submitted after a drawing has already occurred will only be eligible for the remaining drawings that have not yet occurred.

No Sweepstakes Winner can win more than one Sweepstakes Prize.

Each Sweepstakes Winner will be notified by phone, U.S. Mail, or e-mail that it has been selected as a Sweepstakes Winner, and given instructions regarding how to accept its Sweepstakes Prize. Each Sweepstakes Winner will have twenty (20) business days after being notified to accept the Sweepstakes Prize, or it will forfeit the Sweepstakes Prize at FirstEnergy Solutions’ sole discretion.

If a selected Sweepstakes Winner cannot be contacted, is ineligible, fails to claim the Sweepstakes Prize timely, or fails timely to return any completed documentation if required, the Sweepstakes Prize may be forfeited at FirstEnergy Solutions’ sole discretion. All companies selected as Sweepstakes Winners may elect to forfeit or decline the Sweepstakes Prize.

If any Sweepstakes Prize is unclaimed, forfeited, or declined, it may be awarded by subsequent random drawing of the eligible entries received prior to the end of the Promotion Period or not awarded at all, at FirstEnergy Solutions’ sole discretion. Any such subsequent drawing may occur at any time after the Promotion Period ends, and will otherwise comply with these Official Rules to the extent reasonably practicable.

The names of the Sweepstakes Winners will be posted at www.ThanksAMillionOhio.com within ten (10) business days after the end of the Promotion Period. Alternatively, to receive a paper copy of the names of the Sweepstakes Winners, send a self-addressed envelope to FirstEnergy Solutions, Thanks A Million Ohio, 341 White Pond, Akron, OH 44320. The information will then be mailed within a reasonable time after the Promotion Period ends.

ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH A SWEEPSTAKES PRIZE, AND ANY COSTS AND EXPENSES ASSOCIATED WITH A SWEEPSTAKES PRIZE, ARE THE SOLE RESPONSIBILITY OF THE SWEEPSTAKES WINNER THAT WINS THAT SWEEPSTAKES PRIZE.

6. Affidavit of Eligibility, Liability Release, and Publicity Grant.

By participating or attempting to participate in the Sweepstakes, even if ineligible, your company and every individual acting as or purporting to act as an authorized representative for a company release, indemnify, and hold harmless FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, from any and all liability, claims, or actions of any kind sustained in connection with the Sweepstakes, including, for example, any errors in evaluating the eligibility of entrants or attempted entrants.

By accepting a Sweepstakes Prize, each Sweepstakes Winner and every individual acting as or purporting to act as an authorized representative for the Sweepstakes Winner also releases, indemnifies, and holds harmless FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, from any and all liability, claims, or actions of any kind sustained in connection with the Sweepstakes and the receipt, ownership, use, or misuse of the Sweepstakes Prize. Unless prohibited by law, each Sweepstakes Winner will be required to sign and return an affidavit of eligibility, liability release, and publicity grant in a form acceptable to FirstEnergy Solutions, which will include consent to the use of the Sweepstakes Winner’s name, trademark, and likeness for advertising and publicity purposes without additional compensation.

8. Technology Disclaimer.

FirstEnergy Solutions, ePrize, LLC, and all related individuals and entities, including directors, officers, employees, agents, and independent contractors, disclaim liability for, and your company and every individual acting as or purporting to act as an authorized representative for a company release, indemnify, and hold harmless these entities and individuals against and from, any damages, losses, costs, or negative impact on your company’s participation or attempted participation in the Sweepstakes caused by any technological or electronic malfunctions or problems of any kind, including those resulting from bugs, viruses, problems with computer servers, problems with computer hardware, problems with computer software, problems with "cloud"-based computing, problems with data, problems with networks, problems with internet service, problems with internet connections, problems with internet browsers, problems with the transmission of information or data, and lost, delayed, corrupted, or mistransferred data or information. This Section 8 applies regardless whether the technologies or electronics at issue are in your company’s control, in the control of any of the entities and individuals listed above in this Section 8, or in the control of any other individual or entity.

9. Additional Conditions.

By participating or attempting to participate in the Sweepstakes, your company and every individual acting as or purporting to act as an authorized representative for a company agree to be bound by these complete Official Rules and by the decisions of FirstEnergy Solutions and ePrize, LLC, which shall be final and binding in all respects. Any disputes relating to the Sweepstakes arising between participants or attempted participants and FirstEnergy Solutions or ePrize, LLC will be submitted to binding arbitration in Summit County, Ohio, and resolved under the laws of the state of Ohio. In the event of a dispute regarding an entrant’s identity, the entrant will be considered to be the named registrant.

FirstEnergy Solutions, in its sole discretion, reserves the right to disqualify any company if it or its agents or independent contractors tamper with the entry process, the operation of the FirstEnergy Solutions or ePrize, LLC websites, or are otherwise in violation of these Official Rules. FirstEnergy Solutions further reserves the right to cancel, terminate, or modify the Sweepstakes if it is not reasonably capable of completion as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, or technical failures of any sort. In the event of cancellation, the then-unawarded Sweepstakes Prizes may be awarded by random drawing of the eligible entries received prior to the date of the cancellation or not awarded at all, at FirstEnergy Solutions’ sole discretion.
